1.2 What We Do NOT Provide
Fresh Start Multiservices LLC explicitly does not provide:
- Legal Representation - We are not attorneys and do
not provide legal advice. We assist with administrative filing only.
- Tax Advice - We do not prepare tax returns or
provide tax strategy advice. For tax planning, consult a CPA or tax professional.
- Accounting Services - We coordinate with accountants
but do not provide accounting or bookkeeping as professional services.
- Guaranteed Government Approval - We cannot guarantee
government agencies will approve filings or applications.
- Representation Before Government Agencies - We do
not represent clients before the IRS, DOT, state agencies, or other government bodies.
1.3 Service Accuracy Dependent on Client Information
Our services are based upon the accuracy and completeness of information you provide. You are solely
responsible for:
- Providing accurate, current, and complete information
- Verifying all information before submission
- Notifying us immediately of any changes or corrections needed
- The content and accuracy of documents submitted through our services
Fresh Start is not responsible for errors or omissions resulting from inaccurate information provided by
you.
2. Service Terms & Limitations
2.1 Professional Services Disclaimer
You acknowledge that:
- Fresh Start provides administrative and compliance services, not professional legal or tax services
- Our services are limited to form preparation, filing submission, and administrative support
- Government agencies may reject or request corrections to filings for reasons beyond Fresh Start's
control
- Processing times are determined by government agencies, not by Fresh Start
- We cannot guarantee the outcome of any application or filing
2.2 Government Processing Times
Fresh Start is not responsible for delays in government processing. Typical processing times include:
- Federal EIN Applications - 1-2 weeks (online) to 2-4
weeks (by mail)
- State Business Filings - 3-10 business days
depending on the state
- DOT/MC Applications - 30+ days depending on FMCSA
backlog
- IFTA Filings - 2-4 weeks for approval

Fresh Start will submit your materials timely but cannot control government agency processing.
2.3 Rejection & Resubmission
If a government agency rejects or requests corrections to a filing:
- Fresh Start will notify you of the rejection and required changes
- Additional fees may apply for resubmission or
corrected filings (not included in original service fee)
- You are responsible for approving corrected versions before resubmission
- Delays resulting from rejection are not Fresh Start's responsibility
2.4 Service Limitations by Service Type
Business Formation Services
- We prepare and submit formation documents based on your specifications
- We do not provide ongoing registered agent service unless separately contracted
- Changes to registered agent address require additional filings and fees
- Annual reports and compliance filings require separate service agreements
Transportation & DOT Services
- We provide administrative support for DOT/MC applications; approval is determined solely by FMCSA
- FMCSA may conduct additional investigations or request
additional documentation
- Safety audit guidance is informational only; passing audits depends on your actual practices
- Highway Use Tax (Form 2290) submissions are subject to IRS review and audit
- We do not guarantee any DOT/MC application will be approved
Administrative Services
- Notary services comply with state law; we cannot notarize certain documents (power of attorney beyond
scope, etc.)
- Document translation accuracy is not guaranteed without professional translation review
- Contract preparation is based on templates; we recommend attorney review before execution
- We are not responsible for the legality or enforceability of documents prepared
Financial & Tax Services
- Form 1099 preparation is based on information you provide; you are responsible for accuracy
- We are not responsible for tax liabilities resulting from inaccurate reporting
- Bookkeeping coordination requires accurate source documentation
- We do not provide tax strategy or planning advice
3. Payment Terms & Policies
3.1 Service Fees
- Service fees are as quoted and confirmed at the time of engagement
- Fees may vary based on complexity, rush requests, or multi-state filings
- Quotes provided are estimates and subject to change if scope changes
- Additional fees apply for services beyond the original scope
3.2 Payment Due Date
- Payment is due upon service engagement unless a payment plan is agreed in writing
- Invoices specify payment due date (typically Net 30)
- Failure to pay may result in service suspension or termination
- Late payments may incur interest charges of 1.5% per month or maximum allowable by law
3.3 What Fees Include
Fees include:

Fees do NOT include:
- Third-party service fees (government filing fees, trademark searches, courier fees)
- Additional services or services outside original scope
- Rush processing fees (if applicable)
- Resubmissions due to rejection or correction requests
- Extended support beyond agreed service period
3.4 Refund Policy
- No refunds for services already rendered or
submitted
- If services are canceled before submission, refunds are 50% of service fee
- If services are canceled after submission, no refund is available
- Refunds must be requested within 30 days of service completion
3.5 Third-Party Costs
Clients are responsible for all government filing fees, trademark search fees, expedited processing fees,
and other third-party costs. These are billed separately or collected from you and submitted to government
agencies.
4. Cancellation & Service Termination
4.1 Client Cancellation
You may cancel services at any time by providing written notice to Fresh Start:
- Before submission to government: 50% refund available, less any third-party costs
incurred
- After submission to government: No refund available; filing cannot be reversed
- For ongoing/subscription services: 30-day written notice required
4.2 Fresh Start Termination
Fresh Start reserves the right to terminate service engagement:
- For non-payment or payment default
- If client provides false or fraudulent information
- If requested services are illegal or violate any laws
- For violations of these Terms
- Due to unforeseen circumstances beyond our control
- With 30-day written notice for any other reason
Upon termination:
- All outstanding balances become immediately due
- Fresh Start will cease work and provide notice
- Client assumes all responsibility for pending applications or filings
- Fresh Start will provide copies of documents prepared upon request
4.3 Work in Progress
If services are canceled while applications/filings are pending:
- Fresh Start is not responsible for withdrawal, delay, or loss of pending applications
- Client must submit withdrawal requests to government agencies directly
- Fresh Start will provide copies of submitted materials and guidance only
- No refund is available for submitted filings
5. Limitation of Liability
5.1 Disclaimer of Warranties
Fresh Start Multiservices LLC makes no warranties regarding:
- Accuracy or Completeness - While we strive for
accuracy, we cannot guarantee all forms and filings are free from errors
- Timeliness - Government processing times are beyond
our control
- Outcomes - We cannot guarantee government approval
or acceptance of any application or filing
- Fitness for Purpose - Services are provided

5.2 Limitation of Liability

- Fresh Start's total liability for any claims arising from these services shall not exceed the fees
paid by client for the specific service giving rise to the claim

- Fresh Start is not liable for damages arising from:

- Delays in government processing
- Client's failure to provide accurate information
- Third-party actions or decisions
- Client's failure to implement our recommendations

5.3 Business Continuity
Fresh Start is not liable for service interruptions, data loss, or business disruption due to:
- Natural disasters, acts of God, or force of major events
- Cyber attacks, system failures, or technology disruptions

- Third-party service failures (email, cloud storage, etc.)
6. Client Confidentiality & Data Protection
6.1 Confidentiality Obligations
Fresh Start Multiservices LLC treats all client information with strict confidentiality:
- Client information (business details, financial information, personal data) is confidential
- Information is accessed only by authorized Fresh Start personnel who require it for service delivery
- Confidential information is not shared with third parties except:
- As required by law or court order

- To third-party service providers under confidentiality agreements
- With client's explicit written consent
6.2 Data Collection & Use
We collect and use client information for:

- Federal Motor Safety Administration (FMCSA) makes all final
approval determinations
- FMCSA may request additional information, conduct investigations, or deny applications without our
involvement or control
- Fresh Start is not responsible for application outcomes, delays, or denials
- Fresh Start cannot predict FMCSA approval timelines or decisions
- FMCSA approval timelines vary widely (typically 30-60+ days); Fresh Start is not responsible for delays
- You are responsible for maintaining compliance with FMCSA regulations after approval
12.2 Safety Audit Assistance
Fresh Start provides informational guidance for Federal Motor Carrier Safety Administration (FMCSA) safety
audits:

12.3 IFTA (International Fuel Tax Agreement) Services

- You remain solely responsible for accurate fuel and mileage

- Accuracy of IFTA reporting depends entirely on the accuracy of records you provide

not represent you in audits
- Failure to maintain accurate records or file IFTA reports can result in significant penalties; this is
your responsibility
12.4 Highway Use Tax (Form 2290) Filing

- FMCSA regulations are complex and frequently changing; you are responsible for staying current
- Fresh Start recommends consulting with a DOT compliance professional for operational compliance guidance
- Failure to maintain compliance can result in out-of-service orders, fines, and loss of operating
authority
- Fresh Start is not liable for compliance failures, regulatory violations, or penalties resulting from
your operations
12.6 State Permits & Multi-State Operations

- You are responsible for obtaining all required permits before
operating in each state
- Operating without required permits can result in fines, vehicle impoundment, and loss of operating

- Violations resulting from operating without permits
- Permit revocation or suspension
- Changes in state permit requirements
- Fresh Start recommends verifying all permits are approved before beginning multi-state operations
- Some permits must be renewed annually or periodically; it is your responsibility to track renewal dates
12.7 Driver Record Requests (MVR - Motor Vehicle Records)
Fresh Start provides support in obtaining Motor Vehicle Records for drivers:

- You maintain or will obtain required insurance coverage
- All information provided to Fresh Start is accurate and truthful
